Waiver, Release of Liability, Assumption of Risk & Informed Consent Agreement

Welcome to Nova Glow. Whether this is your first class with us or your five-hundredth, your safety matters to us as much as your experience does, and this Agreement is how we look after both. It explains the risks involved in reformer Pilates, heated mat work, red light, and infrared sauna, and it asks you to formally accept them before you join us on the mat, the reformer, or in the sauna.

PLEASE READ CAREFULLY. THIS DOCUMENT AFFECTS YOUR LEGAL RIGHTS.

This Waiver, Release of Liability, Assumption of Risk & Informed Consent Agreement (“Agreement”) is entered into between you (“Client,” “you,” or “your”) and Nova Glow Studio, LLC (“Nova Glow,” “we,” “our,” or “us”), a Colorado limited liability company located at 19865 Mainstreet, Suite 110, Parker, Colorado 80138. This Agreement applies to your participation in any Nova Glow class, session, service, event, or use of Nova Glow's facilities, including but not limited to Nova (reformer Pilates), Glow (heated mat Pilates with red light), Light Up (standalone red light sessions), Heat Up (infrared sauna sessions), private and duet sessions, and any future services Nova Glow may offer (collectively, the “Services”).

This Agreement works alongside, and does not replace, Nova Glow's Terms of Service, Privacy Policy, and any applicable Membership Agreement or Founding Membership Agreement. If anything in this Agreement conflicts with those documents specifically with respect to risk, liability, or informed consent, this Agreement controls.

1. Acknowledgment of Risks — General

In plain terms: any kind of movement, even when it's well-guided, carries some risk. We want you to know that going in.

You understand that physical exercise, movement, bodywork, and recovery services of any kind carry inherent risks, including but not limited to muscle strains, sprains, joint injuries, falls, dizziness, fainting, head injuries including concussion, cardiovascular strain, and, in rare cases, serious injury, paralysis, or death. You further understand that any group setting, including group fitness classes, carries an inherent risk of exposure to communicable illness, including colds, influenza, and other infectious diseases, from other clients, instructors, staff, or shared equipment and surfaces. You understand that Nova Glow's instructors and staff will offer guidance, cueing, and modifications, but that ultimate responsibility for listening to your body, disclosing relevant health information, and working within your own limits, rests with you.

2. Service-Specific Risks

In plain terms: each of our services carries its own specific risks worth understanding on its own terms.

Nova (Reformer Pilates).

Reformer equipment uses springs, cables, and a moving carriage. Improper use, loss of balance, or equipment misuse can result in pinching, strain, or injury. New clients are strongly encouraged to complete an orientation or private session before their first regular class.

Glow (Heated Mat Pilates with Red Light).

Glow classes take place in a room heated to approximately 90–95°F, with a red light panel present at each mat station. Exercising in a heated room increases the risk of dehydration, overheating, and lightheadedness, particularly for individuals who are pregnant, have cardiovascular conditions, or are otherwise heat-sensitive. Red light exposure, even at ambient class intensity, may not be appropriate for individuals who are pregnant, have certain skin conditions, are taking photosensitizing medication, or have a history of seizures triggered by light. You may ask your instructor to turn off the red light panel at your station at any time, for any reason. Light-blocking glasses are available upon request for anyone sensitive to bright light.

Light Up (Standalone Red Light).

Light Up sessions involve direct, sustained exposure to red light panels at a dose calibrated for a full session. Red light therapy may not be appropriate for individuals who are pregnant, are taking photosensitizing medication, have a history of skin cancer or other photosensitive skin conditions, or have a seizure disorder triggered by light. Light-blocking glasses are available upon request for anyone sensitive to bright light. Light Up sessions are self-guided: you use the space on your own, without an instructor in the room, and agree to follow the posted guidance, session times, and orientation provided by our front desk team.

Heat Up (Infrared Sauna).

Heat Up sessions involve sustained exposure to infrared heat in a single-person sauna. Heat exposure of this kind may not be appropriate for individuals who are pregnant, have cardiovascular disease, uncontrolled high or low blood pressure, a history of fainting or heat intolerance, or who are taking medications that affect the body's ability to regulate temperature or blood pressure. Dehydration, lightheadedness, and overheating are real risks of any sauna use. Heat Up sessions are self-guided: you use the sauna on your own, without an instructor in the room, and agree to follow the guidance, session times, and orientation provided by our front desk team. Please exit slowly, hydrate well, and end your session right away if you feel unwell. Our team is nearby, and the hallway entrance to the space is visible to staff and security cameras, but we cannot monitor you every moment.

3. Health Disclosures and Ongoing Duty to Disclose

In plain terms: tell us what's going on with your body, every time, not just at sign-up.

You represent that you are physically fit and have no medical condition that would prevent your safe participation in the Services you have chosen. You agree to inform Nova Glow staff, before each applicable session, of any pregnancy, injury (including any recent head injury or concussion), surgery, cardiovascular condition, photosensitivity, seizure history, or other condition that may affect your ability to safely participate. You understand this disclosure obligation continues for as long as you use Nova Glow's Services, not just at your first visit, and that your circumstances may change over time. Your representations in this Section are a material inducement for Nova Glow to permit your participation in the Services. If you have had a head injury or suspected concussion, you agree not to participate in any Service, including Heat Up and Light Up, until you have been cleared by a licensed healthcare provider, and you understand Nova Glow may ask for that clearance. You also understand that Nova Glow has a concussion management protocol and agree to follow staff direction if you show signs of a head injury during your visit. Nova Glow strongly recommends that you consult your physician before beginning or continuing any of the Services described in this Agreement, particularly if you are pregnant, have a pre-existing medical condition, or are uncertain whether a Service is appropriate for you.

4. Assumption of Risk

In plain terms: by choosing to participate, you're accepting these risks as your own.

You expressly, knowingly, and voluntarily assume all risks of participating in the Services, whether those risks are specifically described in this Agreement, inherent to the activity, or not identified here at all, including risks arising from your own physical condition, the instruction or supervision provided, or the acts or omissions of other clients, instructors, or staff. This assumption of risk is a material term of this Agreement and a condition of your participation in the Services.

5. Release and Waiver of Liability

In plain terms: you're agreeing not to hold us legally responsible for ordinary accidents, the kind that can happen even when everyone does everything right.

To the fullest extent permitted by Colorado law, you release, waive, discharge, and covenant not to sue Nova Glow Studio, LLC, its owners, members, officers, employees, instructors, contractors, and agents (collectively, the “Released Parties”) from any and all liability, claims, demands, actions, or causes of action for personal injury, illness, disease, death, or property damage arising out of or in any way connected with your participation in the Services, including claims based on the ordinary negligence of the Released Parties, whether that negligence is active or passive, and including claims relating to the use of equipment, the condition of the premises, instruction, and self-guided Services. This release applies regardless of whether a claim arises before, during, or after a particular Service. This release does not apply to, and nothing in this Agreement limits liability for, gross negligence, willful or wanton misconduct, or any liability that cannot be released under Colorado law.

6. Indemnification

You agree to indemnify and hold harmless the Released Parties from any claim brought by a third party, and any resulting loss or reasonable cost, to the extent it arises from your own negligence, misconduct, or breach of this Agreement or Nova Glow's posted rules. This Section does not apply to the extent a claim is caused by the gross negligence or willful misconduct of a Released Party.

7. No Medical Advice; No Guarantee of Results

In plain terms: we're fitness and wellness professionals, not your doctors, and we can't promise specific results.

Nova Glow's instructors and staff are fitness and wellness professionals, not physicians, and nothing said, demonstrated, or provided during a Service constitutes medical advice, diagnosis, or treatment. Nova Glow makes no representation or warranty, express or implied, regarding any specific fitness, health, aesthetic, or wellness outcome from participating in the Services, and results vary by individual.

8. Personal Property

In plain terms: please don't leave valuables lying around, we can't be responsible for them.

Nova Glow is not responsible for the loss, theft, or damage of personal property brought onto its premises, including items left in cubbies, lockers, common areas, or the studio floor. Cubbies and lockers are provided for your convenience only and are not secured storage. You are solely responsible for safeguarding your own belongings while at the studio.

9. Consent to Emergency Medical Treatment

In the event of an injury or medical emergency during your participation in the Services, you authorize Nova Glow staff to contact emergency medical services and to take reasonable steps to secure medical assistance on your behalf. You understand that Nova Glow staff are not medical professionals and that this authorization does not create an obligation for Nova Glow to provide medical care beyond contacting emergency services. You also authorize Nova Glow to share relevant information with emergency responders and your emergency contact, and to document any incident and share those records with its insurers, advisors, and legal counsel as described in Nova Glow's Privacy Policy.

10. Photography, Video & Recording

Your participation in the Services is also subject to the photography, video, and recording provisions of Nova Glow's Terms of Service. Nova Glow also uses security cameras in common areas, including the hallway areas, for the safety and security of our clients and team. By signing this Agreement, you acknowledge that you have reviewed these provisions.

11. Minors

Nova Glow's Services are available only to individuals 18 years of age or older, consistent with Nova Glow's Terms of Service. This Agreement is not intended for execution by or on behalf of a minor.

12. Duration

This Agreement applies to your participation in the Services on the date you sign it and to all future visits, classes, sessions, and Services at Nova Glow, unless and until you notify Nova Glow in writing that you revoke this Agreement. Revoking this Agreement will prevent you from participating in future Services until a new Agreement is signed. Nova Glow may update this Agreement from time to time and may ask you to review and re-sign it when changes are meaningful.

13. Electronic Signature

By signing this Agreement electronically, whether through Nova Glow's booking platform, mobile application, or at check-in, you agree that your electronic signature is legally binding and enforceable to the same extent as a handwritten signature, consistent with Nova Glow's Terms of Service.

14. Waiver of Jury Trial

In plain terms: if a dispute ever did happen, it would be decided by a judge, not a jury.

To the fullest extent permitted by law, you and Nova Glow each knowingly, voluntarily, and intentionally waive any right to a trial by jury in any action, proceeding, or counterclaim arising out of or relating to this Agreement or your participation in the Services.

15. Class Action Waiver

In plain terms: any claim would be yours alone to bring, not part of a group lawsuit.

To the fullest extent permitted by law, any claim arising out of or relating to this Agreement or the Services must be brought on an individual basis only, and not as a plaintiff, class member, or participant in any purported class, collective, consolidated, or representative action.

16. Governing Law, Severability & Reformation

This Agreement is governed by the laws of the State of Colorado, without regard to its conflict-of-laws principles, consistent with Nova Glow's Terms of Service. Any disputes arising from this Agreement shall be resolved exclusively in courts located in Douglas County Colorado, unless otherwise required by applicable law. If any provision of this Agreement, including any release of liability, is found by a court of competent jurisdiction to be invalid or unenforceable as written, the parties intend for that provision to be modified or limited by the court to the minimum extent necessary to make it enforceable, rather than voided entirely, and the remaining provisions of this Agreement shall remain in full force and effect.

17. Entire Agreement

This Agreement, together with Nova Glow's Terms of Service, Privacy Policy, and any applicable Membership Agreement or Founding Membership Agreement, represents the entire agreement between you and Nova Glow regarding its subject matter and supersedes any prior oral or written understandings on these topics.

If you have questions, please ask us before you sign. We are always happy to talk it through.
